4. Service Terms
4.1 Engagement
All consulting services are provided under separate written agreements that specify the scope of work, deliverables, timelines, and compensation terms.
4.2 Professional Standards
We provide services in accordance with generally accepted industry standards and best practices. We do not guarantee specific outcomes unless explicitly stated in writing.
4.3 Client Responsibilities
Clients are responsible for:

- Timely access to systems and personnel as required
- Implementation of recommended security measures
- Compliance with applicable laws and regulations
5. Payment Terms
Unless otherwise specified in a separate agreement:
- Invoices are payable within 30 days of issue
- Late payments may incur interest charges at 8% per annum above the Bank of England base rate
- We reserve the right to suspend services for overdue accounts
- All fees are exclusive of VAT where applicable
6. Intellectual Property
6.1 Client IP
All intellectual property rights in client data, systems, and pre-existing materials remain with the client.
6.2 Our IP
We retain ownership of our methodologies, tools, templates, and general knowledge. Specific deliverables created for clients become client property upon full payment.
6.3 Third-Party IP
We respect third-party intellectual property rights and expect clients to do the same.
7. Confidentiality
We maintain strict confidentiality regarding all client information and require our staff to sign non-disclosure agreements. We will not disclose confidential information to third parties without written consent, except as required by law.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the total fees paid for the specific engagement
- We shall not be liable for indirect, consequential, or punitive damages
- We exclude liability for loss of profits, data, or business opportunities
- These limitations apply except in cases of fraud or gross negligence
9. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, or technical failures.
10. Termination
Either party may terminate an engagement:
- With 30 days written notice for convenience
- Immediately for material breach following 14 days written notice to cure
- Immediately in case of insolvency or bankruptcy
11. Data Protection and Privacy
We process personal data in accordance with UK GDPR and our Privacy Policy. By engaging our services, you consent to the processing of personal data as described in our Privacy Policy.
12. Governing Law
These terms and conditions are governed by English law. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
13. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
14. Amendments
We reserve the right to modify these terms at any time. Material changes will be communicated to existing clients with reasonable notice.
15. Professional Indemnity Insurance

16. Complaints Procedure
